Terms of Service

These Terms of Service ("Terms") govern your access to and use of VinTrak ("VinTrak," "we," "us," or "our"), a winery financial management platform, including our website at vintrak.app and all related applications and services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

1. The Service

VinTrak provides tools for winery financial management, including vintage cost tracking, profit and loss reporting, pricing analysis, barrel and cooperage tracking, wine club management, document processing, and accounting integrations. Features available to your organization depend on your subscription plan.

2. Accounts and Subscriptions

You must provide accurate information when creating an account and are responsible for maintaining the security of your credentials and any activity that occurs under your account. Subscriptions are billed in advance on a recurring basis (monthly, unless otherwise agreed) through our payment processor, Stripe. New accounts may include a free trial period; at the end of the trial, continued use of the Service requires an active paid subscription. You may cancel your subscription at any time, effective at the end of the current billing period. Fees are non-refundable except as required by law or as we expressly state otherwise.

3. Your Data

You retain ownership of the data you submit to the Service, including financial records, contracts, invoices, and wine club information ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We will not sell your Customer Data. You are responsible for ensuring you have the necessary rights to submit any data you upload, including data relating to your customers, vendors, and wine club members.

4. AI-Assisted Document Processing

The Service may use third-party artificial intelligence providers, including Anthropic and Google, to help extract data from contracts, invoices, and other documents you upload. AI-extracted data is provided as a convenience and is subject to human review within the Service before it is treated as authoritative; you remain responsible for verifying the accuracy of any extracted or imported data before relying on it for accounting, tax, or compliance purposes.

5. Third-Party Integrations

The Service may integrate with third-party services you choose to connect, such as Zoho Books for accounting synchronization. Your use of those third-party services is subject to their own terms, and we are not responsible for their availability, accuracy, or acts or omissions.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer or attempt to extract the source code of the Service, except as permitted by law;
  • Use the Service to store or transmit malicious code.

7. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by VinTrak and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. VinTrak does not provide legal, tax, or accounting advice, and outputs of the Service (including AI-assisted extraction and cost calculations) should be reviewed by a qualified professional before being relied upon for financial or regulatory decisions.

9. Limitation of Liability

To the maximum extent permitted by law, VinTrak will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service if you breach these Terms or if required to comply with applicable law. You may stop using the Service and cancel your subscription at any time. Upon termination, your right to access the Service ceases, though certain provisions of these Terms will survive termination, including Sections 3, 7, 8, and 9.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
